Approval/Authorization for the Chairwoman of the Urban Redevelopment Agency of Gwinnett County, Georgia, to execute a Notice and Request for Approval of Assignment and Assignment of Declarant’s Rights related to the intended merger of OFS Brightwave Solutions, Inc. into its sole shareholder, OFS Fitel, LLC. Subject to approval as to form by the Law Department.

Ratification of Landlord’s Waiver and Personal Property Collateral Access Agreement with HPS Investment Partners, LLC. Subject to approval as to form by the Law Department.

Ratification of Management Agreement between Brand Real Estate Services, Inc. and Urban Redevelopment Agency of Gwinnett County, Georgia, for management of the Gwinnett Place Mall property. Subject to approval as to form by the Law Department.

Approval of delegation of authority for the Gwinnett County Director of Financial Services to execute documents incidental to the ownership of property owned by the Urban Redevelopment Agency of Gwinnett County, Georgia, and that do not financially obligate the Urban Redevelopment Agency, all documents being subject to approval as to form by the Gwinnett County Law Department. This delegation of authority shall extend to the following: (1) consents to assignments requested by the surviving party in a merger of that party into another entity and assignments to affiliated entities (parent or subsidiary companies) but not to assignments to unrelated entities; (2) landlord waivers and consents associated with current license and lease agreements; (3) approval of preferred vendor agreements; and (4) other such incidental consents, approvals and agreements.
